BRAIN FORCE strengthens its US business
BRAIN FORCE HOLDING AG have further strengthened their business in the US through increasing their share in KEMP Technologies Inc. to 20 percent. By this move, the company accomplishes the second step provided for in the participation agreement signed last September, after KEMP have outperformed their targets set for the first quarter. Last year, BRAIN FORCE acquired an initial 10 percent share in the US based firm. Altogether, its shareholding is to be gradually increased to 30 percent.
 
BRAIN FORCE HOLDING have increased their share in the US based KEMP Technologies Inc., New York, now holding 20 percent in the company. Thus BRAIN FORCE have accomplished the second stage of the participation agreement reached in September 2005. As a first step, the group acquired a 10 percent share in KEMP.
 
The participation agreement provides for an increase in KEMP's cash reserve in four stages until reaching a 30 percent share. The contract is linked with achieving the sales and profit targets of the US based corporation. "In the first quarter, KEMP have outperformed their forecasts so that we have now increased our share by another 10 percent. At the same time, we are confident that we will be in a position to purchase the remaining shares to the agreed value", states Helmut Fleischmann, BRAIN FORCE's founder and CEO.
 
As a consequence of the shareholding, Kemp have acquired all rights to BRAIN FORCE HOLDING's "Load Balancer B-100" and have integrated this as the basis of their "LoadMaster". Using this software, service enquiries may be distributed to a group of servers so as to achieve efficient utilisation of various systems. With the funds provided by the capital increase, KEMP will expand the marketing of the system in their home market. Sales in Europe remain with the BRAIN FORCE group.
