The Executive Board announces that as of 15th November 2004, Brain Force Software AG decided to withdraw the action against TOPCALL International AG (i) for contestation of shareholders' resolutions and (ii) for a declaratory judgement of lawfully effected resolutions.

As regards the successful takeover bid of EDC Investment Limited (a wholly owned subsidiary of DICOM Group plc), the Executive Board also announces that Brain Force Software AG has transferred 876,528 Topcall shares priced at EUR 4.28 per share to EDC Investment Limited in connection with the bid, thereby generating sale proceeds of EUR 3,75 millions.
