With effect from 30th April 2003, BRAIN FORCE SOFTWARE AG has taken up an option to acquire 6,323,800 shares (equating to 54.05 percent of the share capital with voting entitlement) in NSE Software AG based in Munich. Brain Force Software now intends to make a takeover bid to the outside shareholders in accordance with the German law on acquisitions.
In 2002, NSE Software AG achieved turnover of EUR 16.5 million. It has around 130 employees. Many of the major insurances and banks in Germany and Austria have for some years successfully implemented NSE's market-leading FINAS software solution. In addition to FINAS software, SBT Praha a.s. (based in Prague), in which NSE Software AG holds an 85 percent shareholding, is also strategically significant to Brain Force Software AG. SBT Praha has a wholly-owned subsidiary in Bratislava offers for Eastern Europe adapted FINAS-products and an inventory management system for mortgage loans in Eastern Europe. Its customers include the most important banks in the Czech Republic and Slovakia. This represents a foothold in the Eastern European market for Brain Force Software.
With immediate effect, the NSE range of products and services will be offered by all Brain Force Software companies in the German-speaking region. As soon as country-specific adjustments have been made, the same will apply to Italy, the Netherlands and Great Britain. The greatly improved selling power, the significant market potential and the potential for synergy and rationalisation made possible by the acquisition will grow in proportion to Brain Force Software's investment quota in NSE Software. This will result in increases to both sales and income for both companies.
