Günter Pridt, responsible for operational business from 2002 until December 2004, is planning to step down from the Executive Board of Brain Force Software AG when his contract expires at the end of the year. This will necessitate a reallocation of tasks within the Brain Force Software AG board. As from January 2005, Executive Board Chairman Helmut Fleischmann will assume responsibility for the areas of Marketing and Sales, Projects and Services and Mergers and Acquisitions. Deputy Chairman Wolfgang Lippert will retain charge of the Group Accounting, Treasury, Legal, Financial Controlling and Quality Assurance areas, whilst also taking on the area of Investor Relations.

The introduction of a vertical management structure will prepare the organisation for the forthcoming expansion. One aim of this will be to reduce the complexity produced by the corporate acquisitions of recent years. In future, the geographical region of Central Europe will be combined with Germany, Austria, Switzerland and the Czech Republic under a single management structure.

These changes will not affect Brain Force Software Sp.A. in Italy, which will remain the nucleus of a future geographical region of South-West Europe. The company will continue to report directly to the Executive Board of Brain Force Software AG in Vienna.
