Ad-hoc: Capital increase / Stock Exchange

With the Supervisory Board's approval of 23 February 2004, the Executive Board of Brain Force Software AG, Vienna has decided to increase the company's share capital, by maintaining the subscription rights, from the current par value of EUR 4,834,789.- by a par value of up to EUR 2,417,394.- to a total par value of up to EUR 7,252,183.- by issuing up to 2,417,394 bearer shares (common stock) against contribution in cash. The issue price of the new shares is EUR 3.00 per share. The new shares are provided with profit participation from 1 January 2003. Details will be announced in a separate request to exercise subscription rights.

It is proposed to apply for admission of the shares to official trading at the Vienna Stock Exchange in the segment "Standard Market Auction" jointly with the 4,834,789 shares of the company that have already been issued. Moreover it is proposed to apply for admission of the new shares to the Frankfurt Stock Exchange, what would lead to a "dual listing" of the company's shares on the Frankfurt Stock Exchange as well as the Vienna Stock Exchange.
