Effective 30 April 2004, BRAIN FORCE SOFTWARE AG has accepted an option for the acquisition of 6,232,800 shares in NSE Software AG, i.e. 54.05% of the voting share capital. These shares of NSE Software AG passed into the property of BRAIN FORCE SOFTWARE AG on 5 May 2003.

In the course of this acquisition, the Executive Board of Brain Force Software AG decided on 5 May 2003, on the basis of the authorization granted to the same by the resolution as adopted by the Meeting of Shareholders on 15 June 2002 and as registered on 31 October 2002 in the commercial register of the Vienna Commercial Court and subject to the Supervisory Board's approval, to increase the company's share capital from the current EUR 3,785,143.- by EUR 434,620.- to a total of EUR 4,219,763.- by issuing 434,620 individual bearer shares against subscription in kind under exclusion of the shareholders' subscription right.
