Having gained the approval of the supervisory board on 25th April 2005, the Executive Board of BRAIN FORCE SOFTWARE AG has decided to dispose of up to 152,645 BRAIN FORCE SOFTWARE AG ordinary shares, equivalent to around 1.49% of the share capital. The authorisation resolution was passed by the shareholders' meeting that took place on 18th June 2004 and published in the "Amtsblatt zur Wiener Zeitung" (an official insert in the Wiener Zeitung newspaper) on 30th June 2004.

The sale of own shares (ordinary shares) in BRAIN FORCE SOFTWARE AG (ISIN AT0000820659) will commence on 2nd May 2005 and is expected to conclude on 31st December 2005.

The sale price for the disposition must be a minimum of EUR 2.50 and a maximum of EUR 10.00.

Since these shares are issued as (partial) consideration in the acquisition of companies and/or parts of companies abroad, disposal will take place through the stock exchange and/or off-exchange, excluding the subscription rights of shareholders.
